Terms of Use

The short version

These Terms are the agreement between Quorum and the owners corporation that uses it. They explain what you get, what it costs, and what each side is responsible for.

  • The owners corporation is our customer. Committee members use Quorum on its behalf.
  • Your first 3 months are free. After that, the fee is $33 per lot per quarter, including GST.
  • You can cancel at any time by email.
  • Quorum records votes and shows the majority. It is not legal advice, and the committee stays responsible for its decisions.
  • AI features can make mistakes. Check them before you rely on them.
  • We aim to keep Quorum available and reply to support within 1 business day, 7 days a week.

These Terms apply from [date of publication] (version 1.0). Please read them with our Privacy Policy.

About these Terms

Quorum is operated by Andrew Eramo, trading as Quorum, based in Melbourne, Victoria [ABN to be added when issued]. In these Terms, "we", "us" and "Quorum" mean that business.

  • Owners corporation (OC) means the owners corporation, body corporate or strata scheme that uses Quorum for one building.
  • Committee means that OC's committee.
  • User means a person invited to use Quorum for the OC, such as a committee member.
  • You means the OC and, where the context fits, each user.
  • Service means the Quorum website and app, including the shared inbox, cards, votes, surveys and AI features.

The OC is our customer. The committee acts for the OC, and the OC is bound by what the committee agrees on its behalf.

If we later move Quorum into a company, we may transfer these Terms to that company. We will email committee members before that happens, and the company will be bound by these Terms and our Privacy Policy.

Accepting these Terms

You accept these Terms when you accept an invitation to Quorum or use the Service. When you accept an invitation, you agree to these Terms and our Privacy Policy. We record the date and the version you accepted.

By accepting, you confirm that:

  • you are at least 18 years old;
  • you are a member of the committee, or are otherwise authorised to act for the OC;
  • the committee has authority to agree to these Terms for the OC, including the fee, and has obtained any approval the OC needs, such as at a general meeting.

Strata managers can email a building's Quorum address and receive replies, but they are contacts on the inbox, not users. They cannot sign in to the Service.

What Quorum is and is not

Quorum is a shared workspace for an OC committee. It organises a building's emails, cards, votes and surveys, and keeps a record of what was discussed and decided.

Quorum is not a strata manager, and it does not replace one. It does not give legal, financial or strata advice. The committee remains responsible for the OC's decisions, and for the correspondence sent in its name.

Votes and decisions

Quorum is a tool for recording vote outcomes and showing the majority. It is not legal advice.

Quorum does not decide whether a vote or decision is valid, whether a matter needs a meeting, or whether the OC's rules and the law allow it. The committee is responsible for following the law and rules that apply to the OC, such as the Owners Corporations Act 2006 (Vic) in Victoria, and for checking that a decision recorded in Quorum is properly made.

AI features

Quorum uses AI to help with tasks such as sorting emails, suggesting card titles, writing summaries and drafting survey context. AI output can be wrong, incomplete or out of date.

AI output is a suggestion. Please check it before you rely on it, act on it or send it to anyone. The committee is responsible for what it sends and decides. Our Privacy Policy explains how AI features handle information.

Free trial and pilot

Free trial. Your building gets 3 months free, starting on the day the first member accepts an invitation. You pay nothing and owe nothing for the trial. You can cancel at any time during it. By signing up for the free trial, you agree that unless you cancel before it ends, you expect the service to continue at the advertised fee.

Pilot. Some buildings join a pilot: a limited group of buildings using Quorum for a set period. A pilot follows these Terms and has the same 3-month free period. During a pilot, features may change. At our discretion, we may choose not to invoice a pilot building after the 3 months and either end the pilot or extend it at no cost. If we end a pilot, we will give reasonable written notice and offer an export of your information. Once the pilot period ends, a building that continues is treated as an ordinary customer.

Fees and payment

After the free trial, the fee is $33 per lot per quarter, including GST. A lot is a lot in your building's plan of subdivision. We count the lots recorded for your building in Quorum, and we adjust the next invoice if that number changes.

  • We invoice quarterly in advance. The first invoice is sent after the free trial ends.
  • Invoices are due within 30 days.
  • We send invoices to the billing contact the OC nominates, usually its strata manager. The manager can pay from the OC's funds, including from owner levies. If the manager pays or arranges payment on the OC's behalf, the OC remains responsible for the fee.
  • We do not take card payments. We do not charge setup fees.

The price is fixed for the first 12 months of paid use.

Unpaid invoices

If an invoice is not paid by its due date, we will send a reminder. If it is still unpaid, we will give written notice by email to the billing contact at the OC's strata management company. If it is still unpaid 14 days after that notice, we may limit access to Quorum until it is paid.

While access is limited, committee members can still sign in, but they cannot view the building's information. They will see a message explaining that an invoice needs to be paid to restore access. We restore full access once the invoice is paid. If an invoice stays unpaid for a prolonged period, we may not be able to restore your information.

If you think an invoice is wrong, tell us at support@quorum.email before the due date and we will work it out with you.

Changing prices, the service and these Terms

Prices. After the first 12 months of paid use, we may change the fee. We will give at least 60 days' written notice by email. If you do not accept the change, you can cancel before it starts and keep the old price until then.

The service. We may improve, change or remove features. If a change would significantly reduce what the Service does for you, we will tell you in advance.

These Terms. We may update these Terms. We will email committee members at least 30 days before a material change takes effect. If you keep using the Service after that date, you accept the new Terms. If you do not accept them, you can cancel before the date.

Ending your subscription

You can cancel at any time by emailing support@quorum.email. During the free trial, cancelling costs nothing. After the trial, cancellation takes effect at the end of the quarter you have paid for, and we do not refund that quarter.

We can end or suspend your access if you seriously breach these Terms and do not fix it within 14 days of our written notice, or immediately if the breach is serious misuse or puts others at risk. We reserve the right to discontinue the Service at any time without notice, and we are not liable for refunds of any fees paid.

Your information. When your subscription ends, we offer an export of your building's information first. We then keep it for 1 year so you can ask for a copy, and delete it after that. You can ask us to delete it sooner. Our Privacy Policy has the details.

Your content and feedback

Your content. Everything your building puts into Quorum, including emails, cards, comments, votes and survey responses, belongs to the OC. We do not claim ownership of it. You give us permission to store, process and display it, including through the AI features and our service providers, only so we can provide the Service to you.

The committee is responsible for its content. It must have the right to put it into Quorum, including any personal information about other people, and must decide who it invites.

Feedback. If you give us feedback or suggestions about Quorum, we may use them without obligation or payment. This does not include your building's content, which stays with the OC.

Using Quorum properly

Please use Quorum only for your OC's committee business. You agree that you and your users will:

  • keep sign-in details secure and not share them;
  • invite only people who should be on the committee's board;
  • not put unlawful, defamatory, harassing or misleading content into Quorum, or send it in the OC's name;
  • not try to access another building's information, or interfere with, test or break the Service;
  • not copy, resell or reverse engineer the Service;
  • follow the law, including privacy and spam laws, when sending emails through Quorum.

If we find a breach of these rules, we may remove content or limit access. We will tell you why where we can.

Availability and support

We aim to keep Quorum available. Quorum runs on third-party platforms, including our hosting platform and email provider, and those platforms do not guarantee they will always be available. We cannot guarantee uninterrupted service, and we do not give credits or refunds for downtime. We will tell you about planned maintenance and major outages.

Support is by email at support@quorum.email, 7 days a week. We aim to reply within 1 business day.

Our liability

Nothing in these Terms excludes or limits any right you have under the Australian Consumer Law or other law that cannot be excluded. Where the law allows us to limit our liability for a breach of such a right, we limit it, at our choice, to resupplying the service or paying the cost of having it resupplied.

Subject to that, and to the extent the law permits:

  • we are not liable for indirect or consequential loss, or for loss of profit, opportunity or data;
  • we are not liable for loss caused by events outside our control, including failures of third-party platforms and providers, or by decisions made using AI output or recorded votes;
  • our total liability to you for all claims is limited to $100 during the free trial or a pilot, and otherwise to the fees paid or payable for the 3 months before the event giving rise to the claim, or $100, whichever is greater.

These limits do not apply to liability for fraud, or for death or personal injury.

Disputes and governing law

If you have a problem, tell us in writing at support@quorum.email and we will try to resolve it. If we cannot resolve it within 30 days, either of us may take it to court.

These Terms are governed by the law of Victoria, Australia. Both of us submit to the courts of Victoria.

General terms and contact

  • These Terms, our Privacy Policy and any fee details we send you make up the whole agreement between us about Quorum.
  • If part of these Terms is found to be unenforceable, the rest still applies.
  • We may give notices to you by email. You may give notices to us at support@quorum.email.
  • If we do not enforce a right straight away, we have not given it up.
